These cover the website and, once it is released, the software and the reading service. Beta participants also sign a separate agreement, and where the two disagree the beta agreement wins.
1. Who you are agreeing with
INVEDEX ONE is published by JNTH Media LLC. Using this website, the software, or the reading service means you accept these terms. If you are accepting on behalf of a business, you are saying you may bind it.
2. The software
The app runs on your own computer under a licence to use it, not a transfer of ownership. You may install it on the computers your business uses. You may not resell it, rent it out, publish it, or remove or work around the licence checks.
Your records are yours. Nothing here gives us any claim over your inventory, your customers or your business data, and nothing here requires you to keep paying us in order to keep reading your own records.
3. The reading service
An INVEDEX Scan is one photograph read on our service, and it is the metered unit. A plan buys a number of scans in a billing period, as shown on the pricing section of the front page.
- You are notified as you approach the limit. The allowance is the limit: once it is used up, scanning stops unless you have switched extra scans on.
- Unused scans roll over for 30 days from the end of the cycle, capped at one month’s worth — so the maximum you can hold is twice your plan’s monthly allowance.
- Beyond that, extra scans are charged at the rate shown for your plan, and only if you have switched them on. They are off by default.
- Changing plan takes effect immediately.
If a subscription lapses, new work stops — running scans, adding stock, importing, and pushing counts to your store. Viewing, searching, exporting, selling, syncing and backing up continue to work, and your records are never altered, locked or deleted because of a payment.
4. What you must not do with it
- Send anything through the reading service that you have no right to send.
- Use it to break a law, or to infringe somebody else's rights.
- Share one subscription across separate businesses, or resell scans.
- Attack, overload or probe the service, or try to reach another customer's data.
5. Payment
Subscriptions are billed in advance through Stripe, monthly or yearly as chosen, and renew automatically until cancelled. Cancel any time and it runs to the end of the period you have paid for. Prices can change with at least 30 days' notice before a renewal; the price you are on holds until then.
6. Your store connections
Connecting Wix, Square or Shopify means the app writes stock numbers into your shop on your instruction. You are responsible for what it is pointed at and for checking what it wrote. Those platforms are not ours and their own terms govern your use of them.
7. Accuracy, and the honest limit of it
Reading a label from a photograph is interpretation, not transcription, and it can be wrong. That is why the app shows you what it read and does not write anything until you confirm it. You are responsible for checking a reading before you accept it. We do not warrant that any particular reading is correct, and the software is not accounting, tax or legal advice.
8. Availability
The reading service is provided as-is and we do not promise it will never be unavailable. The software itself is designed so that an outage is not your problem: counting, weighing, selling, exporting, syncing and backing up all run on your own computer and do not need us.
9. Warranties and liability
To the fullest extent the law allows, the software and service are provided without warranties of any kind, express or implied. To the fullest extent the law allows, our total liability for any claim is limited to the amount you paid us in the twelve months before it arose, and we are not liable for lost profits, lost business or indirect losses.
Nothing here excludes liability that cannot lawfully be excluded, and if you are a consumer your statutory rights are unaffected.
10. Ending it
You may stop using it at any time and cancel from your account. We may suspend or end an account that breaks section 4, or that has not paid. If we end an account, the software on your computer keeps opening and your records stay readable and exportable.
11. Trade marks
INVEDEX, INVEDEX ONE, the X1 mark and the associated designs belong to us. Using the software does not give you a right to use them.
12. Changes
We may update these terms. Material changes will be announced on the site and, for account holders, by email before they take effect. The date at the top is always the current version.
13. Governing law
These terms are governed by the laws of the State of Texas, and the courts of Montague County, Texas have exclusive jurisdiction.
